General meeting of Baltic Horizon Fund (hereinafter the Fund) took place on 11 November 2016 (hereinafter the General Meeting). The General Meeting was assembled with the same agenda as the general meeting of 27 October 2016 which was, due to the absence of required quorum, unable to adopt resolutions. 

Total of votes registered to the General Meeting: 13,985,560 units representing 33,32% of the votes represented by all units. The number of votes was determined on the basis of the register of Fund’s unitholders maintained by AS Eesti Väärtpaberikeskus as of 1 November 2016 at 23:59.  

Pursuant to 10.11 of the Fund rules and section 131-4 of the Estonian Investment Funds Act, the General Meeting was competent to adopt resolutions regardless of the votes represented at the meeting. Thus, the meeting had quorum.

Resolutions adopted at the General Meeting

The following resolutions were adopted at the General Meeting:

1) David Bergendahl was elected as new member of the supervisory board of the Fund as of 11 November 2016 for a period of 2 years

Voting results:

In favour: unit-holders of 13,985,560 units (100 % of votes represented at the meeting);
Against: 0 votes 
Neutral: 0 votes

2) Remuneration of EUR 11,000 per calendar year was approved for David Bergendahl for fulfilling the obligations of the member of the supervisory board.

Additional information

David Bergendahl was born in 1962 and graduated from Göteborgs universitet in 1988 receiving a Bachelor’s degree in Economics. David Bergendahl has been a co-owner and CEO in Pergamon International AB during 1988-1994.  David Bergendahl became a co-owner and CEO of Hammarplast AB in 1994. Currently, David Bergendahl also holds a board member seat in Torslanda Property Investment AB (publ) and Link Prop Investment AB (publ). David Bergendahl holds 501,808 units of the Fund.

The meeting minutes of the 11. November 2016 General Meeting will be made available to the unit-holders on the Fund’s website www.baltichorizon.com within a week after the meeting.

Baltic Horizon Fund is a registered public closed-end real estate fund and Baltic Horizon units began trading on the Nasdaq Baltic Fund list of July 6, 2016. The company’s stock symbol (ticker) is NHCBHFFT.

The fund is managed by Northern Horizon Capital AS under an Alternative Investment Fund Manager license granted by the Estonian Financial Supervision Authority.
